Public Offer Agreement

  • 1. GENERAL PROVISIONS
    1.1. This document is a public offer of 42 Feelings - a company registered in the Russian Federation under the name Individual Entrepreneur Yana Kalney, providing educational services hereinafter referred to as «Contractor», and contains all the essential terms of the provision of information and educational services.

    1.2. The Public Offer is an official document and published on the website of the Contractor at the address: https://42feelings.com/public-offer-agreement

    1.3. In case of payment for services, legal entity or individual thereby confirming the adoption and acceptance of the following terms of the Public Offer and becomes the Customer hereinafter referred to as «Customer». The Contractor and the Customer are the Parties of the Public Offer.

    1.4. Public Offer does not require signing and stamped by the Customer and maintaining full force and effect.

    1.5. In connection with aforementioned, Customer must attentively read the text of this Public Offer and in case of disagreement with the terms and conditions — refuse to conclude the Public Offer and using Contractor's services.

  • 2. SUBJECT OF THE AGREEMENT
    2.1. In accordance with the terms of this Agreement, the Contractor shall provide the services specified in the invoice and the Customer undertakes to pay for these services in accordance with the invoice.
  • 3. ACCEPTANCE AND CONTRACTING OF THE PUBLIC OFFER
    3.1. Customer makes acceptance of the Public Offer by prepaying of the Contractor's services in respect of which the Public Offer is concluded. Customer's acceptance of this Public Offer means that he/she is fully agreed with all the provisions of this Public Offer.

    3.2. By acceptance of the Public Offer in the order specified in paragraph. 3.1 of the Public Offer, the Customer warrants that he/she is familiar, agree, fully and unconditionally accept all the terms of the Public Offer in the form in which they are presented.
  • 4. RIGHTS AND OBLIGATIONS OF THE PARTIES
    4.1. The Contractor undertakes to:

    4.1.1. Organize and ensure the proper provision of services.

    4.1.2. Use all personal data and confidential information about the Customer only for provision of services, do not transfer and do not show information indicated in documentation and customer information to the third parties.

    4.2. The Contractor is entitled to:

    4.2.1. Unilaterally determine the value of the services provided and to change the terms of this Public Offer.

    4.2.2. Independently determine the form and methods of services providing on the basis of legal requirements, technical capabilities, as well as the specific conditions of the agreement taking into account wishes of the Customer.

    4.2.3. Use the services of any natural persons or legal entities, for the purpose of timely and quality fulfillment of obligations under the Agreement. Independently determine the composition of professionals providing services, and at its discretion to distribute the work between them.

    4.2.4. To demand payment for rendered services or for services which are providing.

    4.2.5. To refuse providing services for Customer in the case of non-payment (partial payment) for services in a timely manner, at untimely providing of the application for the provision of services.

    4.2.6. To get from the Customer any information which is necessary to perform its obligations under the Agreement. In case of any incorrect or incomplete information which was provided by the Customer the Contractor is entitled to suspend performance of its obligations under the Agreement before providing the necessary information.

    4.3. The Customer undertakes:

    4.3.1. Timely and fully pay the cost of Contractor's providing services in the order, in time and in the amount set forth herein.

    4.3.2. To provide the Contractor with all the information and data which would be necessary to fulfill its obligations under Agreement.

    4.3.3. Do not disclose confidential information and other data provided by the Contractor in connection with the execution of this Agreement.

    4.4. The Customer has the right to demand from the Contractor to provide information about the organization and proper ensuring of the Services provision.
  • 5. COST OF SERVICES AND PAYMENT PROCEDURE
    5.1. The costs of services are determined by the Contractor in invoice in accordance to the rates determined in the section 6 and 7.

    5.2. All rates are in Euro.

    5.3. Payment for the Services under this Agreement is made on the basis of a 100% prepayment and in the manner prescribed by this Agreement.

    5.4. The Customer is solely responsible for the correctness of payments made by him. The moment of payment is the receipt of funds to the Contractor's current account.

    5.5. The Company reserves the right to change the Tariffs at its discretion.

    5.6. Tariffs are indicated for standard services. In the case where additional provision of the Services is required, the cost may be increased accordingly.

    5.7. Our Website allows purchases online, and you can pay for our products by using Visa or MasterCard. After accepting the purchase of the product selected, a secure window with the PayPal processing service will open, where you can sign into your PayPal account.     5.8. The information you enter (name, address, phone number, email, credit card number) is confidential and is never shared with anyone. Your credit card information is always sent encrypted and is not stored on our Web-server.
    The bank guarantees the safety of all processed online payments. All operations done with the credit cards are done according to the requirements listed by VISA International, MasterCard, and other payments systems. Special technology is used to send the information to ensure security of online purchases, and the information is processed on a secure high-tech server of the processing company.
  • 6. PROVIDED SERVICES

    Maple package: includes modules 1-2 and Facebook group full package (other participants support, discussions etc).

    Sequoia package: includes includes modules 1-6 and Facebook group full package (other participants support, discussions etc), homework checked by an assistant, 2 one hour group webinars with Oona, Bonus 1: Three audio tracks with meditations on the Mind, the Heart and the Body, Bonus 2: Kindle version of "The Brilliance of the Feelings" book by Oona Soleil Fergusson.

    White fox package: includes modules 1-6 and Facebook group full package (other participants support, discussions etc).

    Red Gazelle package: includes module 1-6 and Facebook group full package (other participants support, discussions etc), homework checked by an assistant, 3 one hour group webinars with Oona, Bonus 1: Lecture on physical detox for emotional well-being, Bonus 2: Lecture on how to work with children, Bonus 3: Two Lectures on the relationship between Man and Woman, Bonus 4: Three audio tracks with meditations on the Mind, the Heart and the Body.

  • 7. FEES AND TERMS
    7.1. Lilac package: 60 €
    Maple package: 120 €
    Sequoia package: 240 €
    White Fox package: 300 €
    Red Gazelle package: 540 €
    Golden Eagle package: 1740 €
    Different discounts (early bird discount: 20%) and special offers (50% family and friends discount for 1 person signing up for the course together with the User in the same package) may apply.

    7.2. Term of services starts to run from the date of the official starting day of the course (on the 3rd and 17th day of the month each month).
    The course duration of the respective service agreements are as follows:
    Lilac package: 17 days. Access to all the lessons is 1,5 months.
    Maple package and Sequoia package: 40 days. Access to all the lessons is 3 months.
    White Fox package and Red Gazelle package: 3 months. Access to all the lessons is 1 year.
    Golden Eagle package and Golden Eagle + package: 1 year.

    7.3. The Agreement ends upon expiration of its duration.
  • 8. LIABILITY OF THE PARTIES
    8.1. The Parties are responsible for the failure or improper performance of their obligations under the Agreement in accordance with applicable law of the Russian Federation.

    8.2. The Contractor is responsible for the timeliness of the services provided when the Customer fulfills the established Terms of Use, which are available at https://42feelings.com/public-offer-agreement

    8.3. The Contractor is not liable for the Customer's failure to receive the Services, and the payment made is not refundable and other services are not transferred in the following cases:
    – The e-mail address specified by the Customer at the time of the provision of the service is not available.
    – The client can not receive paid services because of technical or other problems that have arisen.
  • 9. ORDER OF CONSIDERATION OF DISPUTES AND SPECIAL CONDITIONS
    9.1. This Public Offer Agreement has the force of an act on the provision of services. Acceptance is made without signing the corresponding act. Services are deemed to be rendered properly and in full, if within two weeks from the moment of rendering the service the Customer did not file a claim.

    9.2. Claims of the Customer on the Services provided are accepted by the Contractor for consideration by e-mail within 2 working days from the moment of occurrence of the disputable situation.

    9.3. Refunds are normally processed with in 1-2 business days of the Customer's request, unless he/she has contacted the bank or credit card provider and have made a complaint or initiated a chargeback. Those complaints and chargebacks must be finalized before the Customer's refund can be processed, and lengthy delays can occur.

    9.4. The Contractor and the Customer, taking into account the peculiarities of the provided service, shall undertake in the event of disputes and disagreements related to the provision of services, try to resolve the dispute peacefully or apply pre-trial settlement of the dispute.

    9.5. Questions arising from the interpretation and application of this Agreement and not settled by it are governed by the laws in force in the Russian Federation. The Parties shall make all reasonable efforts to settle by negotiation any disputes arising from this Agreement in connection with it, or with its violation, dissolution or validity.
  • 10. FORCE MAJEURE
    10.1. The parties are exempted from liability for full or partial non-fulfillment of the obligations of the Agreement if the failure to fulfill the obligations resulted from acts of force majeure, namely: flood, fire, strike, earthquake, war, actions of public authorities or other circumstances beyond the control of the Parties.

    10.2. A party that can not fulfill obligations under the Agreement must timely, but no later than 10 calendar days after the occurrence of force majeure circumstances, inform the other Party in writing of the supporting documents issued by the competent authorities.

    10.3. The Parties acknowledge that the insolvency of the Parties is not a force majeure circumstance.
  • 11. CONCLUSION, AMENDMENT, TERMINATION OF THE AGREEMENT
    11.1. The moment of conclusion of this Agreement is the moment of transfer of payment to the Contractor's current account.

    11.2. The Customer enters into the Offer Agreement voluntarily, with the Customer:
    – fully acquainted with the terms of the Offer;
    – fully understands the subject of the Offer and conditions of the Offer Agreement;
    – fully understands the meaning and consequences of their actions with respect to the conclusion and execution of the Offer Agreement.

    11.3. The Customer has all the rights and powers necessary to conclude and execute the Offer Agreement.

    11.4.The Customer has the right at any time to unilaterally withdraw from the Contractor's Services. In the event of a unilateral refusal of the Customer from the Contractor's services later than in two weeks after the conclusion of the Agreement, the payment made is not refundable.

    11.5. On all issues not regulated by this Agreement, the parties are guided by the laws of the Russian Federation.
